1. AI Model Image (“Service”) is an AI Service provided by Lazada for your use to improve your product listings on the Lazada Platform. These terms govern your use of the Service. By proceeding to use the Service, you acknowledge that you have read and accept these Terms.
   
   

2. The Service may rely on Content inputted by you or your authorized users, which may constitute intellectual property.
   
   

3. By providing or uploading such materials, you hereby grant to Lazada, our Affiliates, agents, contractors, licensees and successors an irrevocable, perpetual, worldwide, royalty-free, non-exclusive and sublicensable license to reproduce, distribute, modify, edit, publicly display, publicly perform, adapt, create derivative work (including any AI-generated output from the Service (“Output”)) from such Content for the performance of the Services and generally for the operation of the Lazada Platform or the performance of any services provided by Lazada and/or our Affiliates to you, in any medium now existing or hereinafter developed, and to sub-license to a third party the same, and to use or allow such third party to use such Content and derivative work as constituted in the Content without your prior approval or payment of any compensation. You represent and warrant that you have all the necessary rights and/or licenses in the intellectual property for such Content to grant to Lazada. This Clause 3 survives the termination of these Terms by any party for any reason whatsoever.
   
   

4. The technology driving the Service and any associated software or algorithm used in the Service are owned by Lazada, our Affiliates or our licensors (including third party licensors). All intellectual property rights in the technology and related materials remain the exclusive property of Lazada, our Affiliates or our licensors. Lazada grants you and your users a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services solely for your business purposes on the Lazada Platform. Except where expressly permitted in writing by Lazada, you shall not reproduce, distribute, modify, edit, display, adapt, create derivative works of or exploit the Services or any part thereof.
   
   
   

5. Lazada grants you and your users a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to use and display on the Lazada Platform the images and other assets which you may generate with the Service (“Assets”, which shall exclude your Content) solely as is necessary to list and promote your product listings on the Lazada Platform. The Assets shall not be used in any other manner without the prior written consent of Lazada.
   
   
   

6. You remain fully responsible for your use of the Services and the Output, including for determining the appropriateness of using or redistributing the Output and you assume any risks associated with use of the Service. Accordingly, you hereby confirm and agree that your use of the Services and the Output are and shall remain, in compliance with applicable laws and all terms and policies of the Lazada Platform. The use restrictions set out in the CreativeML Open RAIL-M License Terms apply to the Services. Please read the terms of such license carefully.
   
   

7. These terms apply in conjunction with other notices, contractual clauses and consent clauses applicable to your use of the AI Services and the Lazada Platform, including but not limited to the AI Services User Terms. In the event of any conflict or inconsistency between these terms and the such other documents, the provisions of these terms shall prevail. Unless defined otherwise herein, all capitalized terms used in these terms shall have the same meaning ascribed to them in the User Disclaimer on Use of AI Services.
